1. Introduction
Welcome to Expo Point (“Company”, “we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your use of our website at expopoint.in and all services provided by Expo Point, including exhibition stall design, fabrication, installation, logistics, and related event solutions.
By accessing our website or engaging our services, you (“Client”, “you”, or “your”) confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please refrain from using our website or engaging our services.
2. About Our Services
Expo Point is an exhibition stall design and fabrication company headquartered in Uttar Pradesh, India. Our services include, but are not limited to:
- Custom Stall Design — Conceptualisation and 3D rendering of exhibition booths tailored to your brand identity.
- Fabrication — In-house manufacturing and construction of exhibition structures using premium-grade materials.
- Branding & Lighting Solutions — Application of branding elements, graphics, signage, and lighting as per approved design.
- Logistics & Transportation — Safe packing, transportation, and delivery of fabricated stall components to the event venue.
- On-Site Installation & Dismantling — Professional setup and teardown of the exhibition stall at the designated venue.
We execute projects across pan-India locations. All services are subject to project-specific agreements, scope of work documents, and payment terms communicated at the time of engagement.
3. Client Obligations
By engaging Expo Point’s services, you agree to:
- Provide accurate, complete, and timely information required for design and fabrication, including brand guidelines, logos, dimensions, and event details.
- Review and approve all design proposals, 3D models, and mock-ups within the timelines specified by our team.
- Ensure that all content, logos, images, and branding materials provided to us do not infringe on any third-party intellectual property rights.
- Communicate any changes to project requirements promptly and in writing.
- Make all payments as per the agreed schedule. Delays in payment may result in delays in project delivery, for which Expo Point shall not be held liable.
- Ensure appropriate permissions, passes, and approvals are obtained at the event venue for our installation team.
4. Project Timelines and Booking
- We recommend engaging our services at least 45 to 60 days prior to the event date to allow adequate time for design, fabrication, and logistics.
- Project timelines are mutually agreed upon at the start of each engagement. Timelines are contingent upon timely receipt of required materials, approvals, and advance payments from the Client.
- Expo Point will make reasonable efforts to meet agreed deadlines; however, delays caused by force majeure events, late client approvals, incomplete information, or third-party logistics issues shall not be the responsibility of Expo Point.
5. Quotations and Pricing
- All quotations provided by Expo Point are valid for 15 calendar days from the date of issue, unless otherwise stated.
- Quoted prices are based on the scope of work discussed at the time of the quotation. Any additional requirements, design changes, or additions to scope post-confirmation may attract additional charges.
- All prices are exclusive of applicable taxes (GST) unless explicitly stated otherwise.
- Expo Point reserves the right to revise pricing in the event of significant changes in raw material costs, fuel costs, or logistics charges beyond our control.
6. Payment Terms
- A non-refundable advance payment (percentage as agreed in the project proposal) is required to initiate design and production.
- Further milestone payments are due as per the schedule outlined in the project agreement.
- Full payment must be cleared prior to dispatch of the fabricated stall components or commencement of installation, unless otherwise agreed in writing.
- Payments must be made via bank transfer, cheque, or any other mode agreed upon in writing. Receipt of payment will be acknowledged in writing.
- In the event of delayed payment, Expo Point reserves the right to pause project work until outstanding dues are cleared. Expo Point shall not be responsible for any resulting delays.
7. Design Ownership and Intellectual Property
- All original design concepts, 3D renders, drawings, and creative works produced by Expo Point remain the intellectual property of Expo Point until full payment has been received.
- Upon receipt of full and final payment, the fabricated stall and approved design assets produced specifically for the Client’s project are transferred to the Client.
- Expo Point retains the right to use images, renders, and photographs of completed projects for portfolio, marketing, and promotional purposes, including on our website, social media, and printed materials, unless the Client expressly requests otherwise in writing.
- The Client warrants that all branding materials, logos, trademarks, and content supplied to Expo Point are owned by or licensed to the Client, and that their use does not infringe upon any third-party rights. The Client agrees to indemnify Expo Point against any claims arising from such infringement.
8. Modifications and Change Requests
- Any modifications to the approved design or scope of work must be submitted in writing (email communication is acceptable).
- Change requests made after design approval but before fabrication begins may be accommodated subject to feasibility and may result in revised timelines and additional costs.
- Change requests made after fabrication has commenced will be assessed on a case-by-case basis and will be subject to additional charges. Expo Point reserves the right to decline changes that are structurally or logistically unfeasible at that stage.
9. Cancellation Policy
- Cancellations must be communicated to Expo Point in writing.
- The non-refundable advance paid at the time of booking will be forfeited in the event of cancellation, regardless of the stage of the project.
- If cancellation occurs after fabrication has commenced, the Client will be liable to pay for all work completed, materials procured, and costs incurred up to the date of cancellation.
- Expo Point reserves the right to cancel a project if the Client fails to fulfil payment obligations, provide necessary information, or cooperate within agreed timelines. In such cases, amounts paid (excluding the advance) will be refunded after deducting costs incurred.
10. Installation and Site Conditions
- The Client is responsible for providing accurate and complete information regarding the venue, stall dimensions, floor plan, utility connections (electricity, water), and any specific venue regulations prior to fabrication.
- Any changes to stall dimensions or venue requirements communicated after fabrication has begun will result in additional charges and potential delays.
- Our installation team requires unobstructed access to the stall area at the venue during scheduled setup times. Delays caused by restricted access, incomplete venue readiness, or organisational changes at the venue shall not be the responsibility of Expo Point.
- Expo Point will carry out dismantling at the conclusion of the event as per the agreed scope. The Client is responsible for making appropriate arrangements with the event organiser for dismantling access.
11. Liability and Limitation
- Expo Point shall not be liable for any indirect, incidental, consequential, or special damages arising out of or related to the services provided, including but not limited to loss of business, loss of revenue, or reputational damage.
- Our total liability in connection with any project shall not exceed the total amount paid by the Client for that specific project.
- Expo Point is not liable for damage to stall components caused by third parties, venue staff, other exhibitors, or acts of God (including floods, earthquakes, fire, etc.) after installation is complete.
- We are not responsible for delays caused by event cancellations, postponements, or changes made by the event organiser or venue authority.
12. Force Majeure
Expo Point shall not be held liable for failure or delay in performing any obligation under these Terms if such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, government actions, power outages, supply chain disruptions, or any other events beyond our control. In such cases, we will promptly notify the Client and work together to find a mutually acceptable resolution.
13. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. Neither party shall disclose such information to third parties without prior written consent, except where required by law.
14. Website Use
- The content on expopoint.in, including text, images, 3D renders, and design portfolios, is the property of Expo Point and is protected by applicable intellectual property laws.
- You may not reproduce, distribute, or use any content from this website for commercial purposes without our explicit written permission.
- We strive to ensure that information on our website is accurate and up to date, but we make no warranties regarding the completeness or accuracy of website content. Pricing, service descriptions, and portfolio content are subject to change without notice.
- Expo Point is not responsible for the content of any external websites linked from our website.
15. Privacy
Your use of our website and services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. We are committed to protecting your personal information in accordance with applicable Indian data protection laws.
16. Governing Law and Dispute Resolution
- These Terms shall be governed by and construed in accordance with the laws of India.
- Any disputes arising out of or in connection with these Terms or our services shall first be attempted to be resolved through good-faith negotiation between the parties.
- If resolution cannot be reached, disputes shall be subject to the exclusive jurisdiction of the courts of Gautam Buddha Nagar, Uttar Pradesh, India.
17. Amendments
Expo Point reserves the right to update or modify these Terms at any time. Updated Terms will be published on our website with a revised effective date. Continued use of our website or services after any such changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
18. Severability
If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.
19. Entire Agreement
These Terms, together with any project-specific agreements, proposals, or scope of work documents, constitute the entire agreement between you and Expo Point with respect to the subject matter hereof and supersede all prior communications and agreements.
